1. Scope and Acceptance
These Terms & Conditions (“Terms”) govern access to and use of the TruCost.Cloud platform, website, dashboards, reports, APIs, consulting services, FinOps Leadership services, and related offerings (collectively, the “Services”) provided by CLOUD TRUCOST (OPC) PRIVATE LIMITED (“TruCost.Cloud”, “Company”, “we”, “us”, or “our”).
By accessing, using, purchasing, or receiving any Services from TruCost.Cloud, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Services
TruCost.Cloud provides cloud financial management, FinOps, governance, cost allocation, optimization visibility, anomaly detection, reporting, executive insights, architecture reviews, and related consulting services.
Services may include:
- Cloud cost visibility dashboards
- AWS billing analysis
- Cost allocation and chargeback models
- Governance and tagging frameworks
- Anomaly detection and alerting
- Executive reporting
- FinOps Leadership services
- Architecture review and optimization guidance
- Consulting and advisory engagements
We may modify, improve, suspend, or discontinue any feature or service at our discretion.
3. FinOps Leadership Services
Where purchased by the customer, TruCost.Cloud may provide FinOps Leadership services including:
- Executive reviews
- Monthly insights packs
- Weekly office hours
- Governance reviews
- Stakeholder alignment sessions
- Optimization tracking
- Leadership reporting
These services are advisory in nature and support customer decision-making.
Customers remain solely responsible for all implementation, operational, architectural, financial, and business decisions.
4. Customer AWS Access and Responsibilities
Customers are responsible for granting appropriate AWS permissions required for service delivery.
Customers retain ownership and control of:
- AWS accounts
- Cost and Usage Reports (CUR)
- Resource metadata
- Tags
- Billing information
- Cloud infrastructure
Customers warrant that they have authority to grant access to the required cloud environments.
TruCost.Cloud is not responsible for delays, limitations, or inaccuracies caused by incomplete access permissions, restricted environments, missing billing data, or customer-side configuration issues.
Resource Tagging and Cost Allocation
The accuracy of cost allocation, ownership reporting, chargeback views, governance insights, and unit economics depends upon the quality and completeness of customer tagging structures, account hierarchies, metadata, and ownership models.
TruCost.Cloud is not responsible for inaccuracies resulting from incomplete, inconsistent, outdated, or missing tagging practices.
5. Recommendations and Limitations
Recommendations, reports, anomaly alerts, governance findings, architecture reviews, optimization opportunities, forecasts, and savings estimates are provided for informational and advisory purposes only.
Customers remain solely responsible for evaluating and implementing any recommendations.
Optimization Recommendations
Cost savings opportunities, anomaly alerts, governance recommendations, and optimization insights are based on available billing data, tagging structures, metadata, account configurations, and system observations.
TruCost.Cloud does not guarantee:
- Any specific savings amount
- Performance improvements
- Financial outcomes
- Operational outcomes
- Business results
Actual results depend on customer implementation decisions, workload behavior, architecture, cloud provider pricing, and operational practices.
6. Service Levels and Support
TruCost.Cloud will make commercially reasonable efforts to maintain service availability.
Scheduled maintenance, upgrades, infrastructure failures, third-party outages, force majeure events, or customer environment issues may impact service availability.
Support response times may vary based on service plans and contractual agreements.
No uptime guarantee exists unless explicitly agreed in writing.
7. Fees, Taxes, and Payment
Customers agree to pay all applicable fees specified in proposals, invoices, subscriptions, statements of work, or service agreements.
Payments are due according to agreed payment terms.
Customers are responsible for all applicable taxes, duties, levies, or governmental charges excluding taxes based on Company income.
Late payments may result in suspension of services.
8. Data and Confidentiality
Each party agrees to protect confidential information disclosed by the other party.
Confidential information includes:
- Business information
- Pricing
- Financial information
- Technical information
- Customer data
- Reports
- Platform outputs
Neither party shall disclose confidential information except as required by law or with prior written consent.
AWS Billing Data
Customers retain ownership of all AWS billing information, Cost and Usage Reports (CUR), account structures, resource metadata, and associated cloud financial information.
TruCost.Cloud processes such information solely for delivering contracted services and does not assume responsibility for billing inaccuracies originating from cloud service providers.
9. Account Security
Customers are responsible for:
- Account credentials
- Access permissions
- Authorized users
- Internal security controls
Customers must immediately notify TruCost.Cloud of any suspected unauthorized access or security incident.
10. Acceptable Use
Customers shall not:
- Use Services for unlawful activities
- Attempt unauthorized access
- Interfere with platform operations
- Introduce malicious software
- Reverse engineer the platform
- Circumvent security controls
- Misrepresent ownership or authority
Violation may result in suspension or termination of access.
11. Intellectual Property
All rights, title, and interest in the Services, software, methodologies, documentation, reports, dashboards, trademarks, and intellectual property remain the exclusive property of TruCost.Cloud or its licensors.
Except as expressly permitted, customers may not reproduce, distribute, modify, reverse engineer, or create derivative works from the Services.
Customer-owned data remains the property of the customer.
12. Privacy and Data Processing
Processing of personal information is governed by the TruCost.Cloud Privacy Policy.
Customers are responsible for ensuring lawful collection and disclosure of personal information provided to TruCost.Cloud.
13. Third-Party Services
Services may integrate with third-party platforms including:
- Amazon Web Services (AWS)
- Analytics providers
- Communication platforms
- Security providers
- Monitoring tools
TruCost.Cloud is not responsible for the availability, performance, policies, or actions of third-party providers.
14. Subprocessors
TruCost.Cloud may engage trusted subprocessors to provide infrastructure, hosting, communication, analytics, monitoring, security, and support services.
Appropriate contractual safeguards will be maintained where applicable.
15. Warranties and Disclaimers
Services are provided on an “AS IS” and “AS AVAILABLE” basis.
To the maximum extent permitted by law, TruCost.Cloud disclaims all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy
- Reliability
- Availability
No guarantee is made regarding cost savings, business outcomes, operational improvements, or financial results.
16. Indemnification
Customers agree to indemnify and hold harmless TruCost.Cloud, its officers, directors, employees, contractors, and affiliates from claims arising out of:
- Customer misuse of Services
- Violation of these Terms
- Violation of applicable laws
- Unauthorized access granted by the customer
- Customer-provided data or content
17. Limitation of Liability
To the maximum extent permitted by law, TruCost.Cloud shall not be liable for:
- Indirect damages
- Consequential damages
- Lost profits
- Lost revenue
- Lost data
- Business interruption
- Loss of goodwill
Total liability shall not exceed the fees paid by the customer to TruCost.Cloud during the twelve (12) months preceding the claim.
18. Termination and Offboarding
Either party may terminate services according to applicable agreements.
Upon termination:
- Customer access may be revoked
- Data retention periods will apply
- Outstanding payments remain due
Termination does not relieve either party of obligations accrued prior to termination.
19. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including:
- Natural disasters
- Government actions
- War
- Labor disputes
- Internet failures
- Cloud provider outages
- Cybersecurity incidents
- Utility failures
20. Feedback and Suggestions
Customers may voluntarily provide suggestions, enhancement requests, recommendations, or feedback regarding the Services.
Unless otherwise agreed in writing, TruCost.Cloud may use such feedback without restriction, compensation, or obligation to the customer.
21. Modifications to Terms
TruCost.Cloud may modify these Terms from time to time.
Updated versions will be posted on the website or platform.
Continued use of Services constitutes acceptance of revised Terms.
22. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of India.
Any dispute arising from these Terms shall first be resolved through good-faith negotiations.
If unresolved, disputes shall be subject to the exclusive jurisdiction of courts located in Chennai, Tamil Nadu, India.
23. General Provisions
If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in effect.
Failure to enforce any provision shall not constitute a waiver of rights.
These Terms constitute the entire agreement regarding the Services unless superseded by a written agreement.
