Terms and Conditions
For website, SaaS platform, FinOps consulting, and AWS cost-management services
1. Scope and Acceptance
These Terms and Conditions govern access to and use of TruCost.Cloud websites, software, dashboards, reports, APIs, onboarding workflows, FinOps consulting services, and all related deliverables provided by CLOUD TRUCOST (OPC) PRIVATE LIMITED. By accessing the services, creating an account, signing an order form, or otherwise using the services, the customer agrees to these Terms.
If a separate master services agreement, statement of work, order form, data processing addendum, or enterprise agreement is executed between the parties, that agreement will prevail to the extent of any conflict with these Terms.
2. Services
TruCost.Cloud provides cloud financial management services including AWS cost visibility, dashboards, trends, budgeting, anomaly detection, showback, chargeback reporting, CUR/CUR 2.0 analysis, Athena processing, resource-level cost analysis, cost allocation using tags and virtual tags, optimization recommendations, governance reporting, FinOps workshops, advisory services, and agreed support services.
Specific features, service levels, support commitments, pricing, and deliverables may be described in an applicable order form, statement of work, or enterprise agreement.
3. Customer AWS Access and Responsibilities
The customer may be required to deploy CloudFormation templates, create cross-account IAM roles, enable CUR/CUR 2.0 exports, provide billing data, or grant read permissions to AWS services. The customer is responsible for approving all access, validating permissions, and maintaining ownership of its AWS accounts and cloud resources.
The customer must grant least-privilege, read-only access and remove or disable access credentials promptly when services are no longer required or upon termination.
TruCost.Cloud does not require access to application payloads, customer end-user content, or production databases unless separately agreed in writing and scoped in an order form.
The customer remains responsible for validating, approving, and implementing any cost optimization action before applying changes to production environments. TruCost.Cloud recommendations are advisory.
The customer is responsible for the accuracy of account mapping, business-unit mapping, tag rules, owner mappings, and budget thresholds provided to TruCost.Cloud.
4. Recommendations and Limitations
Cost optimization recommendations are advisory in nature and are generated from available billing, usage, inventory, and configuration data. Savings estimates are projections and may differ from actual results due to workload changes, pricing changes, discounts, commitments, credits, marketplace charges, taxes, exchange rates, and customer implementation choices.
TruCost.Cloud is not responsible for service outages, performance degradation, or business impact resulting from customer-approved infrastructure changes, unless caused by proven gross negligence or willful misconduct by CLOUD TRUCOST (OPC) PRIVATE LIMITED.
5. Service Levels and Support
TruCost.Cloud will use commercially reasonable efforts to maintain platform availability. Specific uptime commitments, response time SLAs, and support tiers are defined in the applicable order form or enterprise agreement.
In the absence of a specific SLA, TruCost.Cloud targets reasonable availability consistent with the hosting infrastructure used, excluding scheduled maintenance communicated in advance, force majeure events, failures attributable to third-party services outside TruCost.Cloud's control, and customer actions, misconfigurations, or failure to maintain AWS access permissions.
Where a specific SLA is agreed in an order form, service credits, if any, shall be the customer's sole and exclusive remedy for availability failures, unless otherwise agreed in writing.
6. Fees, Taxes, and Payment
Fees, billing cycles, payment terms, taxes, reimbursement rules, and success-fee calculations will be defined in the applicable order form or statement of work.
All fees are exclusive of applicable GST, withholding tax, TDS, bank charges, and similar levies, unless expressly stated otherwise in the order form.
The customer is responsible for deducting and remitting applicable TDS on payments to CLOUD TRUCOST (OPC) PRIVATE LIMITED as required under Indian tax law, and for providing TDS certificates within the timeframes prescribed by law.
In case of delayed payments, TruCost.Cloud may suspend access to services after reasonable written notice and charge interest on overdue amounts at a rate agreed in the order form or, absent such agreement, at 1.5% per month, subject to applicable law and any executed agreement.
7. Data and Confidentiality
Each party may receive confidential information including pricing, architecture, billing data, cost reports, business-unit mappings, resource metadata, security questionnaires, customer lists, product roadmaps, and technical documentation. Each party agrees to protect confidential information using at least the same care it applies to its own confidential information, no less than reasonable care, and to use it only for the agreed business purpose.
Customer billing data, CUR data, tags, account metadata, reports, and dashboards remain the customer's confidential information. TruCost.Cloud may use aggregated and anonymized benchmark information to improve services and publish industry insights, provided that no individual customer is identifiable from such information.
Confidentiality obligations survive termination of the agreement for three years, except for trade secrets which are protected for as long as they qualify as such.
8. Account Security
Users must keep login credentials confidential and must notify TruCost.Cloud promptly of suspected unauthorized access or credential compromise.
Customers should enable MFA where available and use role-based access controls to limit user permissions.
TruCost.Cloud may suspend accounts or API tokens that appear compromised, are used in violation of these Terms, or pose a security risk to the platform or other customers.
9. Acceptable Use
The customer must ensure its users do not reverse engineer, decompile, disassemble, or derive source code from the platform; overload, scan, penetration-test, disrupt, or attempt to bypass security controls without prior written consent; upload malicious code, unauthorized personal data, or regulated data unless separately agreed in writing; use the service to violate applicable law, third-party intellectual property rights, AWS policies, or customer internal policies; or resell, sublicense, or provide third-party access to the platform without TruCost.Cloud's prior written consent.
10. Intellectual Property
CLOUD TRUCOST (OPC) PRIVATE LIMITED retains all ownership of and rights to its platform, software, dashboards, queries, templates, methodologies, playbooks, content, designs, documentation, and know-how. No licence is granted to TruCost.Cloud intellectual property except the limited right to use the services as described herein.
The customer retains ownership of its data, AWS accounts, cloud resources, business information, and reports generated specifically for the customer from the customer's own data, subject to payment of applicable fees and agreed licence terms.
Feedback, suggestions, or enhancement requests submitted by the customer may be used by TruCost.Cloud to improve the platform without obligation or compensation to the customer.
11. Privacy and Data Processing
Processing of personal data is governed by the Privacy Policy and, for enterprise customers, the Data Processing Addendum. The customer is responsible for ensuring that any personal data embedded in tags, resource names, account names, or exported billing data has been shared lawfully.
12. Third-Party Services
The platform relies on AWS, email delivery, hosting, analytics, monitoring, authentication, and other third-party services. Third-party services are governed by their own terms. TruCost.Cloud is not responsible for outages, price changes, limitations, data practices, or policy changes of third parties outside its reasonable control.
TruCost.Cloud will use reasonable efforts to notify customers of material changes to key third-party services that affect the platform.
13. Warranties and Disclaimers
Each party warrants that it has the authority to enter into these Terms. TruCost.Cloud warrants that it will provide services with reasonable care and skill consistent with industry standards.
Except as expressly stated in an executed order form or agreement, TruCost.Cloud does not guarantee uninterrupted service, error-free recommendations, specific savings outcomes, or suitability for every workload or regulated environment. Services are provided as-is and as-available to the extent permitted by applicable law.
14. Indemnification
Each party will defend, indemnify, and hold harmless the other party from third-party claims, damages, losses, and expenses, including reasonable legal fees, arising from the indemnifying party's breach of these Terms or applicable law, gross negligence or willful misconduct, or infringement of a third party's intellectual property rights caused by materials or data provided by the indemnifying party.
The indemnified party must promptly notify the indemnifying party of a claim, grant reasonable control of the defence, and provide reasonable cooperation. The indemnified party retains the right to participate with its own counsel at its own expense.
15. Limitation of Liability
Subject to applicable law and any executed agreement, TruCost.Cloud's aggregate liability for all claims arising from or related to the services in any twelve-month period shall be limited to the total fees paid by the customer to TruCost.Cloud during the three months preceding the event giving rise to the claim.
Neither party shall be liable for indirect, consequential, incidental, punitive, special, or exemplary damages, or for loss of profits, revenue, goodwill, data, or business opportunity, even if advised of the possibility of such damages.
The limitations above do not apply to death or personal injury caused by negligence, fraud or fraudulent misrepresentation, any liability that cannot be limited by applicable law, or breach of confidentiality obligations.
16. Termination and Offboarding
Either party may terminate the services as per the applicable order form or written agreement. Where no notice period is specified, either party may terminate for convenience with thirty days' written notice.
TruCost.Cloud may suspend or terminate services with immediate effect on written notice if the customer materially breaches these Terms and fails to remedy the breach within fourteen days of notice, becomes insolvent or enters insolvency proceedings, or uses the services in a manner that creates legal risk or security risk for TruCost.Cloud or other customers.
Upon termination, the customer must promptly remove AWS IAM roles, tokens, integrations, user accounts, and all access permissions granted to TruCost.Cloud.
TruCost.Cloud will return, export, anonymize, or delete customer data as per the agreed data-retention terms, subject to legal, audit, tax, backup, dispute-resolution requirements, and the DPA.
17. Force Majeure
Neither party will be liable for delay or failure to perform obligations to the extent caused by events beyond its reasonable control, including natural disasters, acts of government, war, terrorism, pandemic, widespread internet outages, AWS infrastructure failures, or actions of third parties not under that party's control.
The affected party must promptly notify the other party, use reasonable efforts to mitigate the impact, and resume performance as soon as reasonably practicable. If a force majeure event continues for more than sixty days, either party may terminate the affected services on written notice without penalty.
18. Modifications to Terms
TruCost.Cloud may update these Terms from time to time. Material changes will be communicated by email to the primary account contact or by in-platform notice at least thirty days before taking effect. Continued use of the services after the effective date constitutes acceptance of the revised Terms.
Enterprise customers with executed agreements are not affected by unilateral changes to these published Terms during the contract term.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Subject to the dispute resolution process below, courts in Pune, Maharashtra, India shall have exclusive jurisdiction over disputes arising under these Terms.
Before initiating formal proceedings, the parties agree to attempt good-faith resolution through escalation to senior management for thirty days from written notice of a dispute. Enterprise contracts may include arbitration under the Arbitration and Conciliation Act, 1996, as an alternative to court proceedings.
20. General Provisions
These Terms, together with any order form, DPA, and enterprise agreement, constitute the entire agreement between the parties regarding the services and supersede all prior discussions, representations, or agreements.
If any provision is found unenforceable, the remaining provisions continue in full force. Failure to enforce any provision is not a waiver of the right to enforce it later.
The customer may not assign these Terms without TruCost.Cloud's prior written consent. TruCost.Cloud may assign its rights in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Notices under these Terms should be sent to the contacts listed below or as specified in the applicable order form.
